1. Grant of License

1.1 Character * The Licensor grants to the Licensee a non-exclusive, worldwide license to use the two-dimensional animated character named "Yantramaan"(the "Character").

1.2 Ownership * The Licensor owns all right, title, and interest in the Character, including all copyrights, trademarks, and other intellectual property rights.

2. Licensee's Rights and Obligations

2.1 Usage Rights The Licensee may use the Character for the following purposes: Creating content on social media. Advertising or promoting products or services. Other commercial endeavors that do not involve the distribution or sale of the Character itself. * Merchandising: Creating and selling merchandise featuring the Character, subject to the terms of this Agreement.

3. Fees and Payment

3.1 Monthly Fee * The Licensee must pay a one time fee of $20 to the Licensor.

4. Termination

4.2 Breach of Agreement * The Licensor may terminate the License immediately if the Licensee breaches any of the terms and conditions of this Agreement.

4.3 Mutual Termination * Either party may terminate the License at any time with written notice to the other party.

5. Copyright Ownership

5.1 Character Copyright * The Licensor retains ownership of all copyright rights in the Character.

5.2 Created Content Copyright * The Licensee owns the copyright in any original content created using the Character, subject to the terms of this Agreement.

7. Governing Law and Dispute Resolution

7.1 Governing Law * This Agreement shall be governed by and construed in accordance with the laws of India.  

7.2 Dispute Resolution * Any disputes arising out of or in connection with this Agreement shall be resolved through Mediation/Arbitration in accordance with the rules of India.  

8. Entire Agreement

8.1 Entire Agreement * This Agreement constitutes the entire agreement between the parties and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written.  

9. Amendments * Any amendments to this Agreement must be in writing and signed by both parties.
